A form required by the SEC and the stock exchange from all holders of 10% or more of a company's stock and all directors and officers, which details securities owned.

Form 3

A form that an individual or company must file with the SEC after buying 10% or more of shares outstanding in a publicly-traded company or when an insider (one in possession of nonpublic knowledge) becomes affiliated with a company's operations. Form 3 exists to help prevent insider trading and monopolization.

Form 3

An SEC form that directors, officers, and holders of 10% or more of a firm's stock are required to file. This form requires disclosure of all shares and all securities convertible into shares that are directly or beneficially owned by these people.
